1. Services Provided

Orama Solutions Inc. will provide digital design, web design, development, and related creative services as agreed upon in the project proposal. These services may include, but are not limited to:

• Custom digital design

• Website design and development

• Graphic design and branding assets

• Canva template and marketing material design

• Wix website setup and customization

• Social media graphics and digital content

• Content integration

• Basic SEO setup

• Responsive design implementation

• Any additional features or services agreed upon in writing

Additional services, revisions, platform changes, content updates, or work beyond the originally agreed scope may result in additional charges.

The Client acknowledges that certain services may require the use of third-party platforms, software, hosting providers, plugins, applications, or subscription services, including but not limited to Canva, Wix, Google services, social media platforms, domain registrars, hosting companies, and other digital tools (“Third-Party Platforms”).

Unless otherwise stated in writing, the Client is solely responsible for:

• maintaining active subscriptions or accounts required for such Third-Party Platforms,

• payment of any associated platform, licensing, hosting, or subscription fees,

• compliance with the terms and policies of those Third-Party Platforms.

2. Payment & Fees
A non-refundable payment is required before work begins. Any remaining balance must be paid according to the

agreed-upon payment schedule & terms.

Failure to make timely payments may result in delays, suspension, or termination of services.

All payments are non-refundable once the work has commenced.

3. Client Responsibilities
The Client must provide all necessary materials (e.g., content, images, branding assets, logins) in a timely manner.

Delays in providing these materials may extend project timelines.

The Client is responsible for reviewing and approving the website before final launch.

4. Revisions & Approvals
The Client is entitled to a limited number of revisions as specified in the project agreement.

Additional revisions beyond this limit may be subject to extra fees.

If no feedback is provided within 7 days of a revision request, the design will be considered approved.

5. Ownership & Intellectual Property
Upon full payment, the Client will own the final website design and content.

Orama Solutions Inc. retains the right to use the project in its portfolio for promotional purposes.

Third-party software, stock images, fonts, or plugins used in the project may be subject to their own licensing agreements, which the Client must adhere to.

6. Website Maintenance & Support
Unless specified in the project agreement, ongoing maintenance and updates are not included in the initial service.

The Client is responsible for future design and website maintenance, content updates, and technical support.

Maintenance plans may be available at an additional cost.

7. Liability & Warranties

Orama Solutions Inc. is not responsible for any damages, data loss, revenue loss, interruption of business, platform outages, account suspensions, or downtime occurring during or after project completion.

While the Company will use commercially reasonable efforts to deliver functional digital design services at the time of delivery, Orama Solutions Inc. does not guarantee uninterrupted availability, compatibility, performance, or continued operation of any Third-Party Platform, including but not limited to Canva, Wix, hosting providers, plugins, integrations, payment processors, domain services, or social media platforms.

The Client acknowledges that Third-Party Platforms are independently operated and may:

• experience outages or service interruptions,

• modify features or functionality,

• change pricing or subscription requirements,

• suspend or terminate accounts,

• impose technical limitations,

• discontinue services without notice.

Orama Solutions Inc. shall not be held liable for any delays, errors, data loss, downtime, design limitations, or damages caused directly or indirectly by any Third-Party Platform or external service provider.

The Company does not guarantee specific business outcomes or results, including but not limited to increased traffic, engagement, leads, conversions, or sales.

To the maximum extent permitted by law, Orama Solutions Inc.’s total liability arising from any claim related to the services shall not exceed the total amount paid by the Client for the specific services provided under the applicable project agreement.

8. Cancellations & Refunds
Either party may cancel the project before completion with written notice.

If the Client cancels the project after work has started, the Client is responsible for payment for the work completed up to the cancellation date.

Deposits are non-refundable under any circumstances.

9. Project Timelines
Estimated project completion timelines are provided as a guideline and may be affected by Client delays, revision requests, or unforeseen circumstances.

Orama Solutions Inc. is not liable for project delays due to Client inaction, third-party service interruptions, or force majeure events.

10. Hosting & Domain Management
The Client is responsible for purchasing and maintaining their own hosting and domain unless otherwise specified in the agreement.

Orama Solutions Inc. is not liable for issues related to hosting providers, domain services, or third-party server errors.

11. Acceptance of Terms
By proceeding with Orama Solutions Inc.'s digital design services, the Client acknowledges and agrees to these terms.

12. Third Party Platform & Digital Services

The Client understands and agrees that Orama Solutions Inc. may utilize third-party software, platforms, templates, integrations, artificial intelligence tools, hosting services, and applications in the course of providing digital design services.

Orama Solutions Inc. does not own or control these third-party services and is not responsible for their availability, security, performance, pricing, policy changes, outages, or continued operation.

The Client assumes all risks associated with the use of third-party platforms selected or approved by the Client.

WEBFLEX by Orama™ ADDENDUM

This WebFlex by Orama™  Addendum ("Addendum") is incorporated into and made part of the Website Design Agreement ("Agreement") between Orama Solutions Inc. ("Orama Solutions") and Client. In the event of a conflict between this Addendum and the Agreement, the terms of this Addendum shall control with respect to WebFlex by Orama™ services.

1. Program Description

WebFlex by Orama ™ is a subscription-based website design, hosting, maintenance, and support program that allows Client to obtain a professionally designed website with reduced upfront costs in exchange for ongoing monthly service fees.
 

Client understands that participation in the WebFlex by Orama ™ program differs from a traditional website purchase and is subject to the terms outlined herein.
 

2. Initial Website Build-Out

Website development shall be billed at a one-time rate advertised, unless otherwise specified in writing.

The initial build-out fee includes:

• Website design and development

• Mobile responsiveness

• Initial content placement

• Basic SEO setup

• Contact form integration

• Website launch and deployment

Additional pages requested after launch shall be billed at Orama's then-current page development rate.

3. Monthly Service Fee

Client agrees to pay a recurring service fee as advertised per month for participation in the WebFlex by Orama™ program.

The monthly fee includes:

• Website hosting

• Website maintenance

• Software updates

• Security monitoring

• SSL certificate management

• Website backups

• Technical support

• Reasonable content updates

• Website uptime monitoring

• Custom QR code directing users to the website

Orama reserves the right to determine what constitutes reasonable maintenance and content update requests.  Monthly service fee is subject to change with advance notice.

4. Annual Infrastructure Plan

Client shall pay an annual Infrastructure Plan fee provided by Orama Solutions Inc. annually.

The Infrastructure Plan includes:

• Domain registration

• DNS management

• Premium hosting infrastructure

• Security services

• Website licensing costs

• Third-party software licensing (where applicable)

Annual fees are due in advance and are non-refundable once services have been renewed, and are subject to change.
 

5. Ownership of Website and Domain

Client acknowledges and agrees that all websites developed under the WebFlex by Orama ™ program remain the sole and exclusive property of Orama Solutions Inc.

This includes, but is not limited to:

• Website design and layout

• Source code

• Content structure

• Graphics and design elements created by Orama

• Databases

• Website files

• Hosting environments

• Domain names

• Subdomains

• Custom QR codes

• Software configurations

• Proprietary systems and templates

Client is granted a limited, non-exclusive, non-transferable license to use the website during the active term of the WebFlex by Orama™ subscription.

No ownership interest in the website, domain name, hosting account, or associated digital assets is conveyed to Client under this Agreement.

6. Domain Registration and Management

All domain names associated with WebFlex by Orama™ websites shall be registered, owned, and managed by Orama Solutions Inc.

Client acknowledges that:

• The domain name is the property of Orama Solutions Inc.

• The website is the property of Orama Solutions Inc.

• Domain registration does not create any ownership rights in favor of Client.

• Orama Solutions Inc. retains sole discretion regarding domain management, renewal, transfer, suspension, or reassignment.

Upon termination of services, Client shall have no claim of ownership to the domain name unless otherwise agreed in writing by Orama Solutions Inc.
 

7. Minimum Service Term

Client agrees to an initial minimum service commitment of twelve (12) months beginning on the website launch date.

Early termination shall not relieve Client of any remaining obligations due under the initial twelve-month term.  Opting for a month to month plan will incur a 20% increase in price.
 

8. Cancellation

After the initial twelve-month term, either party may terminate services upon thirty (30) days written notice.

Upon termination:

• Website hosting shall cease.

• Maintenance and support services shall cease.

• Client's license to use the website shall terminate.

• Orama may remove the website from public access.

• Any unpaid balances shall become immediately due
   

Upon cancellation, expiration, or termination of the WebFlex by Orama™ subscription:

• Client's license to use the website shall immediately terminate.

• Orama Solutions Inc. may disable, remove, archive, or repurpose the website.

• Orama Solutions Inc. may retain ownership and control of the associated domain name.

• Client shall not be entitled to copies of website files, source code, databases, hosting accounts, or domain registrations unless otherwise agreed in writing.
   

9. Website Buyout Option

At the sole discretion of Orama Solutions Inc., Client may request to purchase ownership rights to the website, domain name, or related digital assets associated with the WebFlex by Orama™ program.
 

Client acknowledges and agrees that:

• Orama Solutions Inc. is under no obligation to sell or transfer ownership of any website, domain name, content, digital asset, or associated intellectual property.

• Any transfer, assignment, or buyout shall be entirely at the discretion of Orama Solutions Inc.

• Pricing, terms, and conditions of any buyout shall be determined solely by Orama Solutions Inc. at the time of request.

• No verbal statements, proposals, marketing materials, or prior communications shall be construed as a promise or obligation to transfer ownership.
   

Orama Solutions Inc. retains all ownership rights to the website, domain name, intellectual property, digital assets, templates, content, software configurations, and related materials created, developed, registered, or maintained under the WebFlex™ by Orama program.

Upon termination of the Agreement, Orama Solutions Inc. may, at its sole discretion, retain, repurpose, modify, redeploy, license, transfer, sell, or otherwise dispose of any website, domain name, template, content, digital asset, or related material owned by Orama Solutions Inc., without compensation to Client.
 

Website ownership, domain ownership, or any related rights shall not transfer unless a separate written agreement is executed and all applicable fees have been paid in full.
 

10. Non-Payment

If payment remains unpaid for more than fifteen (15) days after the due date, Orama Solutions Inc. may:

• Suspend support services;

• Suspend website functionality;

• Restrict website access;

• Remove the website from public view; and/or

• Terminate services.

Restoration of services may require payment of all outstanding balances and a reinstatement fee.

 

Client Acknowledgement

Client understands that WebFlex by Orama™ is a managed website licensing program and not a website ownership program. Client acknowledges that ownership of the website, domain name, hosting environment, and related digital assets remains with Orama Solutions Inc. unless otherwise agreed in a separate written agreement.
